Addison business brokers and M&A advisors

MDR & Associates is a Metroplex M&A advisory firm that helps Addison business owners sell profitable companies for the most they can bring. Addison is a small town with an outsized daytime economy, with nearly 200 restaurants, 22 hotels and more than two million square feet of office space just north of Dallas. Our Frisco office is a short drive away.

Restaurants, hotels and headquarters in a town of 16,661

Addison's commercial story turned in 1976, when residents voted to allow the sale of alcoholic beverages, which was then prohibited in most of Dallas County. Together with low taxes, that brought restaurants and hotels in quickly; the count of restaurants grew from 49 in 1986 to 118 in 1991, and the town now claims more restaurants per capita than any other U.S. city. Its daytime population is estimated at more than 120,000, against 16,661 residents in 2020.

Office tenants are the other half of the economy. Employers and headquarters in Addison include Mary Kay, Wingstop, Dresser, Daseke, Concentra and IWG, and Addison Airport covers about an eighth of the town's land. Hand Drawn Pressing, described as the world's first fully automated vinyl record pressing plant, is here too. The town is bordered by Dallas on three sides and by Carrollton and Farmers Branch on the west.

Selling an Addison company that lives on daytime traffic

When most of your customers are office workers, travelers or visitors rather than residents, a buyer will want to see how revenue moves by day of week, by season and by tenant. For a restaurant group or hospitality business, lease terms matter as much as sales: the buyer has to know the remaining term, the scheduled rent increases and whether the landlord will approve an assignment.

For service firms that support the office towers, from staffing to IT to facility maintenance, our business services practice focuses on contract terms, client retention and who holds the relationships. The firm has sold service companies such as a pest control company and North Texas Surveying, and buyers of those businesses ask the same core questions wherever they are.

Companies near the airport that serve aviation clients should expect questions about licenses, hangar or ramp leases and the handful of customers that often make up much of the revenue.

What happens after our first meeting

We meet at your office or somewhere discreet, read three years of statements and then hand you our opinion of value at no charge. If we take the engagement, the market sees only an unnamed summary of your business until a buyer signs a confidentiality agreement and demonstrates the funds to close. We aim to have several letters of intent in hand at once, and one of the firm's principals leads each negotiation. More on our work in Dallas and throughout Dallas–Fort Worth is a click away.

Questions owners in Addison ask

How do buyers value an Addison restaurant when the lease is the biggest question?

They look at earnings first, then at whether the lease gives them enough years to earn their money back. A short remaining term or a landlord who will not consent to assignment lowers the price. We review the lease with you early so there are no surprises in due diligence.

Can I keep a sale quiet in a town where many businesses know each other?

Yes. Your company's name never appears in our marketing. Buyers see an anonymous profile, then sign a confidentiality agreement and complete a financial profile before learning more. Staff and customers usually hear only once the sale is nearly done.
