What a lender looks at

Lenders underwrite the business, not the enthusiasm. Three years of tax returns that reconcile to the financial statements, earnings that are stable or growing, customer concentration inside a tolerable range, a buyer with relevant experience, and a transition that keeps the business running through the change of hands.

That list is nearly identical to what a buyer's diligence team looks at, which is why a company prepared for a sale is also a company that gets financed.
