Sell-side representation

Sell your business for maximum value

We represent one side of the table: yours. A confidential process, several qualified buyers competing, and a fee you only pay when the money is wired.

What we do

One owner, one company, one shot at getting it right

Most owners sell a company once. The buyer across the table has done it before, often many times, and arrives with advisors who do nothing else. That asymmetry is the reason sellers leave money on the table — not the multiple, not the market.

MDR & Associates has represented Texas owners for more than fifteen years, in manufacturing, home services, distribution and business services. We take a small number of engagements at a time so that a principal of the firm is in the negotiation, not an associate you have never met.

Our fee structure is 100% performance based. There is an industry-standard success fee if and when we sell your company. If we do not complete a transaction, you owe us nothing.

What we look for in an engagement

  • $3 million to $100 million in annual revenue
  • Profitable, with two to three years of records that reconcile
  • An owner who wants a real process, not a listing
  • Texas-based, or with its operations here

If we are not confident we can sell your company for maximum value, we will tell you that in the first meeting rather than take the engagement.

Why owners engage us

What representation actually buys you

01

Competition, not a single buyer

One buyer sets the price. Several buyers discover it. Our process is built to have multiple letters of intent on the table at the same time.

02

Confidentiality that holds

Your name does not appear in the market. Buyers see a blind profile, sign a confidentiality agreement and qualify financially before they learn who you are.

03

A principal in the negotiation

When the negotiation gets difficult — and it does — a partner of the firm is in it, not handing you off.

04

Structure, not just price

What you keep after tax, escrow, working capital and any earnout is a different number from the headline. We negotiate the whole of it.

05

Buyers who can actually close

Strategic acquirers, family offices, private equity and individual buyers — all screened for funding before they get near your financials.

06

Nothing owed if we fail

Success fee only. Our interests and yours point in exactly the same direction from the first meeting.

How it works

Ten steps from first conversation to funds wired

Typically three to nine months. We have closed in eight days and taken eighteen months — profitability, niche and record-keeping decide which.

About the company

This is what lets an advisor come back with a real range instead of a call to ask. Every field here is optional.

Where do we send it?

An advisor replies the same business day. Nothing you send leaves this office.

Confidential. We never contact your employees, customers or competitors, and we do not share your details.

Thank you. Your request is with an advisor, and we reply the same business day.
Something went wrong. Please call (855) 637-2776 and we will take the details by phone.

Tell us the company, the industry and roughly what it turns over. We will tell you what it is likely to be worth, what a sale would look like, and whether we are the right firm for it.

Nothing you send leaves this office. We do not contact your employees, your customers or your competitors.
