Selling a landscaping company in Texas

Maintenance contracts that renew are worth several times the same revenue earned from one-off installations.

6 of the companies on our published record are landscaping and lawn maintenance businesses. Two of them were bought by the same investor within months of each other — which says something about demand. Buyers building commercial services groups want landscaping, because maintenance contracts renew year after year.

What they pay depends on the mix. Commercial and municipal maintenance under contract is valued highest. Design-and-build and installation work is valued lower, because it has to be sold again every time.

What decides the price

What buyers examine in a landscaping company

FactorWhat a buyer does with it
Maintenance revenue under contractThe number of contracts, their term, the renewal rate, and how much of the revenue your ten largest customers represent.
Commercial against residentialCommercial, HOA and municipal contracts are larger and steadier. A residential book is worth more when it is dense and on a recurring schedule.
Crews and foremenLabor is the hardest part of this business. Foremen with tenure and a dependable labor supply are what a buyer is really acquiring.
LicensesIrrigation work in Texas requires a licensed irrigator through TCEQ, and applying pesticides for hire requires a license from the Department of Agriculture. A buyer checks who holds them.
Equipment and fleetMowers, trucks and trailers wear out quickly. Their age and condition become a number in the offer.
Route densityCrews that spend the day working rather than driving earn a higher margin, and buyers can see it in the numbers.

What they said when it was done

Michael and Team are great to work with. The process was quick with no surprises. I was most impressed with the entire team’s quick response and good communication. If you want to sell your business, have a talk with MDR first and see if it’s a good fit.

I had built a business over the course of 13 years in an intentional way. I enjoyed what I was doing, but I had come to a point in my career that I wanted to do other things. That led me to needing to find a professional set of folks to help me transition out of my current business. I found that with the…

Who buys

The three kinds of buyer for a landscaping company

Commercial services groups

Regional landscape companies

Larger operators buying contracts and crews in a market next to theirs.

Individual buyers

Often coming from a corporate career and using SBA financing to buy an established company with customers in place.

Before you go to market

Four things that raise the price, and cost nothing

If a sale is a year or more away, this is the work that pays. It is also the first thing a buyer's accountant will ask for. Pre-exit consulting is how we help owners do it.

  • Put your maintenance customers on written contracts where they are not already.
  • Separate maintenance, installation and irrigation revenue.
  • Record your equipment with purchase dates and condition.
  • Make sure the irrigation and pesticide licenses do not sit with you alone.

Questions about selling a landscaping company

What is a landscaping company in Texas worth?

It follows adjusted earnings and how much of the revenue is maintenance under contract. For companies with $3 million to $100 million in revenue, offers most often fall between three and seven times adjusted EBITDA. A company built on renewing commercial contracts sits higher in that range than one built on installation jobs. A confidential opinion of value is free.

Who buys landscaping companies?

Investors building commercial services groups, larger regional landscapers, and individual buyers who want an established business. Two of the landscaping companies we sold in 2024 went to the same investor, who came back for the second a few months after buying the first.

Will my employees or customers find out?

Not from us. Your company goes to market as a blind profile, with no name and nothing that identifies it. A buyer signs a confidentiality agreement and proves they can fund the purchase before they learn who you are.

How long does a sale take?

Typically three to nine months from engagement to funds wired. How profitable the business is, how well the records hold up and how many buyers are at the table decide where you land.
