Irving business brokers and M&A advisors
MDR & Associates acts as M&A advisors and business brokers for owners in Irving who are ready to sell a privately held company, from a Las Colinas services firm to a distributor near DFW Airport. We are a Metroplex firm that represents sellers only, and since 2008 we have closed more than 250 transactions for Texas companies with $3 million to $100 million in revenue.
A corporate headquarters city with an airport inside its limits
Irving was founded in 1903 by J.O. "Otto" Schulze and Otis Brown and incorporated in 1914. It has grown into a Dallas County city of 256,684 people at the 2020 census, the 12th most populous in Texas. Part of Dallas Fort Worth International Airport lies within the city, and the highway map explains a great deal about its economy: SH 183 runs east to west through the center, I-635 crosses the northern edge, and SH 114 and the President George Bush Turnpike form an X.
The list of companies with head offices here is long. Kimberly-Clark, Fluor, Flowserve, McKesson, 7-Eleven, Michaels, Commercial Metals, Nexstar Media Group and Vistra are among them, and Caterpillar announced in June 2022 that it would move its headquarters to Irving. The largest employers include Citigroup, Vistra, Allstate, Verizon and Microsoft. Much of that corporate presence sits in Las Colinas, a master-planned, mixed-use community of more than 12,000 acres.
For a privately held company, a city full of large corporate customers shapes the market. A firm that provides IT, staffing, facilities, marketing or back-office work to corporations can attract strategic acquirers that want those relationships, and private equity groups building service platforms. Our business services practice covers what those buyers examine: contract terms, renewal history and how much of the revenue repeats.

What changes when an Irving company sells to a strategic buyer
A buyer that already serves very large customers may pay more for your contracts than a purely financial buyer would, because it can fold your team into its own operation. It will also ask harder questions. Expect diligence on customer concentration, on whether key contracts can be assigned to a new owner, and on how much revenue depends on one or two relationships inside a big company. Distribution and logistics companies near the airport face similar questions about carrier agreements, leases and warehouse capacity.
Competition is what protects the price. We aim to bring several qualified buyers to the table at once and negotiate multiple letters of intent (LOIs) side by side, so no single bidder sets the terms. A principal of the firm is in every negotiation, and every offer is presented to you in person; you accept, reject or counter. Our ten-step process lays out the order in which that happens.
Working with MDR & Associates from Irving
Ours is a Metroplex firm whose corporate office is in Frisco. Advisors meet Irving owners wherever it suits them, at the business or at a quiet location away from staff. The first step is a free, confidential discovery meeting; after reviewing three years of financials we give you an opinion of value as a low-to-high range.
Buyers first see a blind profile of your company. Before they learn its name they register, sign a confidentiality agreement and complete a financial profile proving they can fund the purchase. We go to our own database of individual buyers, capital groups and private equity groups first, and place blind ads on the major business-for-sale marketplaces only if more reach is needed. Each company goes to market with a confidential marketing package, a financial recast and a professionally produced HD video.
Our fee is performance based: an industry-standard success fee paid only if the company sells, with the details on our fees page. Most engagements take three to nine months from signing to funds wired. For the wider picture of selling in Dallas County, see our Dallas page.

Questions owners in Irving ask
Will a big corporation in Las Colinas be interested in buying my Irving company?
It can be, if your company fills a gap for it: a service line, a customer list, a region or a capability it would otherwise have to build. Strategic buyers are only part of the pool, though. We also approach private equity groups and qualified individuals, because the price is set by competition between several serious buyers, not by one famous name.
My Irving company's main customer is a large headquarters nearby. Is that a problem for a sale?
Every buyer will study it. They want to know how long the relationship has lasted, what the contract says about a change of ownership, and whether other customers could replace that revenue. A well-documented relationship with a large customer can support value; an undocumented one invites a lower offer or an earnout, where part of the price depends on future results.
Do I need to meet MDR & Associates in Frisco, or can advisors come to Irving?
Advisors come to you. Our corporate office is at 1518 Legacy Dr., Suite 220, in Frisco, and you are welcome there, but many owners prefer to meet at their own office after hours or at a discreet location. Either way, the first discovery meeting and the opinion of value are free and confidential.
