Three Rivers business brokers and M&A advisors
MDR & Associates works with owners ready to part with a company in Three Rivers, the Live Oak County town where the Atascosa, Frio and Nueces rivers meet. As M&A advisors for the seller, we come to you, help you price the company honestly and put it in front of qualified buyers without a public listing.
Oil, gas, a refinery and ranch country
Three Rivers takes its name from its setting: the Atascosa joins the Frio north of town and the Frio joins the Nueces to the south. Natural gas was found nearby in 1920, and in 1922 the first glass factory in Texas opened here, later sold to Ball Glass Company and closed in 1938. A small local refinery grew into a major Diamond Shamrock refinery by 1990, and the Valero Three Rivers Refinery inside the city limits is a major employer today. A federal correctional institution about ten miles west on Highway 72 also provides jobs.
Oil and gas exploration, refining, ranching and hunting drive the local economy. The town is the gateway to Choke Canyon Reservoir, with its boating, fishing and camping, and more than two hundred bird species pass through on migration. Three Rivers had 1,474 residents in 2020.

When revenue rises and falls with oil prices
Companies that service wells, pipelines or a refinery can earn well in good years and much less in slow ones, and buyers know it. Rather than market a single strong year, we lay out several years of results so the buyer sees the whole cycle, and we separate one-off projects from recurring maintenance work. Customer concentration comes next: if one refinery or one operator provides most of the work, buyers will ask about contract terms, safety records and how long the relationship has lasted. A formal business valuation can show how those factors move the range.
Ranch and hunting-related businesses face different questions: land leases, seasonality and whether the customer list belongs to the business or to the owner's personal friendships.

Questions owners in Three Rivers ask
Is it smarter to hold my Three Rivers company until oil prices recover?
Timing matters, but buyers look at several years, not one. A company that stayed profitable through a slow stretch can be more convincing than one riding a peak. We review three years of your financials, give you an opinion of value and say frankly whether holding on is likely to move the price enough to justify the wait.
Most of my work comes from the local refinery. Can the company still be sold?
It can, but the relationship needs to be documented. Buyers want to see the service agreement, how long you have held it, safety performance and who manages the account. Work for other customers, even if smaller, helps a great deal. We present the relationship clearly so buyers weigh the risk fairly.
