First, decide whether you need a broker or an M&A advisor
The words overlap, but the work differs. A business broker typically handles smaller Main Street businesses, such as restaurants, shops and small service firms, often by listing them for sale and qualifying the inquiries that come in. An M&A advisor handles established companies, where buyers are more likely to be private equity groups, larger companies and well-financed individuals, and where the process involves recasting financials, running a controlled sale and negotiating several offers at once.

Seven questions that separate strong candidates
Interview at least two or three firms and ask each the same questions. Take notes on the answers, not the presentation. The firm that gives you specific, checkable answers, and is willing to say what it does not do, is usually the one that will be straight with you later, when a buyer is pushing on price and you need to know whether to hold firm or give ground.
- How many companies my size have you closed, and can I see them? Closed deals, not listings. Ask for named examples, like those on our results page.
- Who will negotiate for me? Find out whether a senior person sits at the table or whether you are handed to a junior associate after signing.
- Where will my buyers come from? A private database of qualified buyers and private equity groups reaches more serious money than a public listing alone.
- How do you protect confidentiality? Expect a blind profile, a signed NDA and proof of funds before any buyer learns your name.
- How do you create competition? One offer is a negotiation with yourself. Several letters of intent at the same time is how a price gets set.
- How are you paid? Ask for the fee structure in writing, and whether anything is due if the company does not sell. Our fee page shows how we answer this.
- Will you tell me if you don't think you can sell it? A firm that accepts every company is not screening for success.
What San Antonio sellers should expect from the market
Established Texas companies attract buyers from well beyond the city: national companies looking for a Texas presence, private equity groups and individual buyers with capital. That widens the pool, but it also means your advisor has to reach those buyers directly rather than hope they find a listing. A buyer from Dallas, Houston or out of state will not be browsing local ads for your company; someone has to put it in front of them, with enough detail to interest them and not enough to identify you.
