Monahans business brokers and M&A advisors

Monahans owners preparing to sell a business can engage MDR & Associates to act as their M&A advisor, and the firm works for the seller only. Monahans is the Ward County seat on Interstate 20, a town that calls itself the Center of the Permian Basin, and our advisors come out to you, meeting at your yard, your shop or somewhere discreet.

A railroad water stop that oil turned industrial

In 1881 surveyor John Thomas Monahan found a well that yielded 250,000 gallons of water a day, water the Texas and Pacific Railway needed to build its line, and the town grew up around the railroad in the late 1880s. The 1926 oil discovery moved the local economy from agriculture to industry, and oil and gas remain central to the regional economy today.

The 2020 census counted 7,836 residents, up from 6,953 in 2010. Interstate 20 and State Highway 18 cross here, the Texas-New Mexico Railroad runs a 111-mile branch line from its Union Pacific connection, and Monahans Sandhills State Park draws thousands of visitors a year for sand surfing and other recreation. The city also extends slightly into Winkler County.

Selling an oilfield-dependent company from a small Permian town

Buyers weighing a company here will study the equipment list, safety records, the drivers and field staff, and how revenue moved through past swings in drilling activity. They will also ask how many operators you serve and whether those relationships would survive your departure. We prepare that material before any buyer sees it, and our recast financials show normalized earnings across good years and slow ones.

In a town of fewer than 8,000 people, discretion matters. Buyers start with a profile that names no company and no town, and they get further only after they commit in writing to confidentiality and file a financial profile with us.

Steps, timing and cost

The ten-step process starts at a free discovery meeting and moves through the marketing package, HD video, buyer screening and competing letters of intent, to due diligence, legal documents and funds wired. Three to nine months is typical, though one sale closed in just eight days and another needed eighteen months. Our fees page describes the success fee, owed only when the company sells. Other West Texas towns appear on our region page for West & North Texas.

Questions owners in Monahans ask

Will buyers pay for my Monahans company's trucks and equipment separately?

Usually the equipment is part of the price, not an extra. Buyers value a company on its earnings, and they expect the trucks and tools needed to produce those earnings to come with it. Equipment condition does affect the multiple, so we document age, maintenance and replacement needs before the company goes to market.

Do I have to wait for an oil upswing to sell a company in Ward County?

Not necessarily. Buyers look across several years, so steady results through a slow period can be as persuasive as a boom-year spike. We go through your numbers with you in a free discovery meeting and give you an honest read on whether waiting would be likely to raise the price.
