Midlothian business brokers and M&A advisors

Owners hoping to sell a business in Midlothian have a sell-side M&A advisor close by in MDR & Associates, which works for the seller and nobody else. We are a Metroplex firm, headquartered in Frisco, and an advisor will drive down to Ellis County to sit with you at your plant, your office or a private room. The first conversation, including a confidential opinion of what the company is worth, costs you nothing.

Cement kilns, a steel mill and a rail park south of Dallas

Midlothian sits in northwest Ellis County, about 25 miles southwest of Dallas, and is served by U.S. 67 and U.S. 287. It is the center of cement production for North Texas: three of the ten largest cement plants in the country operate inside the city, run by Ash Grove Texas Cement, LafargeHolcim Texas and Martin Marietta Materials. The biggest employer is Gerdau's steel mill, with about 1,250 people. QuikTrip runs a distribution operation here, Target is among the major employers, and the Railport industrial park holds further distribution facilities.

Rail explains much of this. The town was named in 1883 by a Scottish train engineer who thought the countryside looked like his homeland, it grew as the midpoint on routes linking Dallas with Cleburne and Ennis with Fort Worth, and it incorporated in April 1888. The 2020 census counted 35,125 residents.

Who buys the companies that supply Ellis County's heavy industry

Large plants support a ring of smaller private companies: machine and fabrication shops, equipment repair, hauling, industrial supply and maintenance contractors. When one of those businesses comes up for sale, interest tends to arrive from three directions: private equity groups assembling an industrial-services platform, larger competitors elsewhere in Dallas–Fort Worth that want your contracts and crews, and individual buyers with capital who want steady demand. All three start with the same question, which is how much of your revenue depends on one or two plants.

Leaning on a handful of big customers won't kill a deal, but it does move the price, and a buyer who discovers it late tends to renegotiate. We address it up front in the financial recast, the restatement of your earnings from a new owner's point of view once personal and one-time costs are removed. The firm's manufacturing sales include companies such as Smith Tool & Mfg., and if you want an independent figure before deciding anything, you can commission a formal business valuation on its own.

Meeting a Metroplex firm on your own ground

Midlothian belongs to the same metro area as our Dallas work, so meetings are easy to arrange and easy to keep out of sight of your employees. One of the firm's principals sits in on every negotiation over a Midlothian company we represent, and the fee comes due only at a closing: no sale, no bill.

Questions owners in Midlothian ask

My shop sells mostly to the cement plants and the steel mill in Midlothian. Will buyers see that as a risk?

They will ask about it. A buyer wants to know the age of each relationship, whether a contract backs it and what happens if one plant cuts back. We lay out that history in the marketing package so buyers price a known risk rather than an unknown one, which usually protects the offer.

Is it better to sell an Ellis County company to a Metroplex competitor or to a private equity group?

It depends on what you want after closing. A competitor may pay for your customers and fold your team into its own; a private equity group often keeps the company intact and may ask you to stay on or keep a stake. We walk you through each offer face to face, so price, terms and the future of your people get weighed together.
