Henderson business brokers and M&A advisors

Henderson business owners can turn to MDR & Associates, whose business brokers and M&A advisors represent sellers of profitable Texas companies. Henderson is the seat of Rusk County, where U.S. 79 and U.S. 259 meet state highways 42, 43 and 64, and we will come to Henderson and sit down with you wherever is most private.

Daisy Bradford No. 3 and the East Texas Oil Field

Henderson predates Texas statehood. It was laid out on land donated by W. B. Ochiltree and James Smith, became the seat of Rusk County when the legislature created the county on January 16, 1843, and was named for James Pinckney Henderson, the first governor of Texas.

The event that shaped its economy came in 1930, when C. M. "Dad" Joiner brought in the Daisy Bradford No. 3 discovery well six miles northwest of town. Henderson's population jumped from about 2,000 to more than 10,000 in a few months, and the surrounding fields are part of the five-county East Texas Oil Field. The 2020 census counted 13,271 residents.

When your company's earnings follow the oil price

If your company sells to the oil field, directly or indirectly, through equipment and parts supply, fabrication, trucking or maintenance, buyers know its earnings rise and fall with drilling activity. They tend to look at several years together rather than your best one. A fair presentation shows the full cycle, explains what drove the good and bad years, and highlights customers outside energy. A documented safety record and long-standing customer contracts help as well.

Of the firm's four core industries, a supply or parts company fits squarely in distribution. Buyers in that field pay for a broad customer list, inventory that is counted and controlled, and revenue that repeats.

How we run a sale for a Henderson owner

Step one is a meeting that costs nothing, after which we study three years of financials and report back with a value range. Once engaged, we rework the numbers into a recast, assemble a confidential package, film the HD video and approach our own buyers first. Every offer is brought to you in person; one of the firm's principals handles negotiation, and the decision on each offer is yours. We cover East Texas by traveling to owners, and the fee becomes payable only when a sale closes.

Questions owners in Henderson ask

My Henderson company had a record year when oil prices were high. Will buyers pay based on that year?

Usually not on that year alone. Buyers typically weigh three years of results, and some will average them. We show the full record with the reasons behind each year, so a strong recent year counts for as much as the evidence supports and a weak one does not drag the price down without explanation.

Are there buyers for oil-field supply companies from outside East Texas?

Yes. Private equity groups and larger distributors in Houston, Dallas and other states look for companies with established customer lists in producing regions. We reach them through our own database first, then through blind listings if needed, and screen each one before your company's name is shared.
