Southlake business brokers and M&A advisors

For a Southlake owner who wants to sell a company, MDR & Associates provides business brokers and M&A advisors from the Metroplex who represent the seller only. Southlake grew up beside DFW International Airport and Grapevine Lake, and we can meet you in town, at your business or anywhere that keeps the conversation private.

An airport boomburb with a corporate core

The area was settled in the 1840s but did not incorporate as Southlake until 1956, taking its name from its position near Grapevine Lake. Closeness to the airport turned it into a boomburb through the 1980s, 1990s and 2000s. It lies mainly in Tarrant County, with a portion in Denton County, covers about 22 square miles and counted 31,265 residents in the 2020 census.

Sabre, an S&P 500 company, has its headquarters in the Solana business park, and TD Ameritrade, Verizon Wireless, Keller Williams and Carroll ISD are among the major employers. Southlake Town Square on State Highway 114 grew after 2005 into one of the most popular shopping centers in the Metroplex, and near 114 there is also gasoline storage and distribution and a concrete works.

Why competing offers matter for a Southlake company

With one interested buyer, that buyer sets the terms. Several at once must compete on price, structure and how you are treated after closing. That is why we work to have multiple letters of intent arrive together, and why the buyers in our own files hear about a company before it is advertised anywhere.

A letter of intent, or LOI, is a short, mostly non-binding document setting out the price and main terms a buyer proposes. Two LOIs with the same headline price can differ widely: one may pay most of the money at closing, another may hold part back in an earnout, a payment that depends on the company hitting future targets. Our fiduciary duty means every offer reaches you in person, and we explain what each term would mean before you accept, reject or counter. For business services companies, where the value sits in contracts and people, those terms matter as much as the price.

Fees and first steps

Our fee depends entirely on results: a success fee at an industry-standard rate, owed only when the company is sold, with a percentage that drops as the deal gets larger. The first discovery meeting and opinion of value cost nothing. The firm works across the Dallas–Fort Worth region, and our advisors come to Southlake to meet you.

Questions owners in Southlake ask

My clients include large employers around the Solana business park. Will buyers see that as an asset or a risk?

Both. Well-known clients add credibility, but if one accounts for a large share of revenue, a buyer will want proof the relationship would outlast your departure. Written contracts, several contacts at the client and a long history reduce that concern, and we present them early rather than waiting for the buyer to ask.

Is an earnout a bad sign in an offer for my Southlake company?

Not always. An earnout can bridge a gap when a buyer doubts future growth you are confident about. The risk is that the payment depends on results you no longer control. We compare earnouts against cash-at-closing offers so you can see what you would receive in each case and decide with your attorney.
